Terms of service

Last updated: ⚠️ [date]

1. Acceptance of Terms

By accessing or using the Entreprenerdy website, the Entrepreneurship Management System (“EMS”), or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

2. Who We Are

Entreprenerdy (“we,” “us,” “our”) operates the Services from ⚠️ [Arch Collab, 34 Whiteley Road, Melrose Arch Precinct — confirm registered address], South Africa. ⚠️ [Company registration number, if applicable].

3. Description of Services

Entreprenerdy provides EMS, a platform for managing entrepreneurship development programmes — including recruitment, diagnostics, mentoring, compliance documentation, monitoring, reporting and impact measurement — together with SEAM, our methodology for structuring programme activity.

4. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • ⚠️ [Minimum age to hold an account, if relevant — note that entrepreneur beneficiaries on client programmes may be minors; clarify who the account-holder actually is in that case: the programme/client organisation, not the beneficiary directly.]

5. Client & Beneficiary Data

Where a client organisation uses EMS to manage a programme, the client is the data controller for beneficiary/entrepreneur information it uploads, and Entreprenerdy acts as a data processor on the client’s behalf, in line with our Privacy Policy and any separate Data Processing Agreement. ⚠️ [Confirm this is the correct legal relationship for your setup — this affects POPIA obligations significantly and should be reviewed carefully.]

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Upload false, misleading, or fraudulent beneficiary or compliance data
  • Attempt to gain unauthorised access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services

7. Intellectual Property

The Services, including EMS, SEAM, and all associated content, trademarks and methodology, are the property of Entreprenerdy. Nothing in these Terms transfers ownership of that intellectual property to you. Data you or your programme’s beneficiaries input into EMS remains your property, subject to the licence you grant us to process it in order to provide the Services.

8. Fees & Payment

⚠️ [Pricing model not yet defined in your source material — insert once packaging/pricing exists: subscription tiers, invoicing terms, what happens on non-payment, refund policy.]

9. Compliance Claims

EMS is designed to support ESD, BBBEE, POPIA and donor-framework compliance workflows. Entreprenerdy does not guarantee that use of EMS alone satisfies any specific legal, regulatory or verification requirement — clients remain responsible for their own compliance obligations. ⚠️ [This disclaimer matters given how heavily “audit-ready” and “verification-ready” language is used across your marketing copy — recommend a lawyer specifically review this section for consistency with your marketing claims.]

10. Disclaimers

The Services are provided “as is” without warranties of any kind, express or implied, except as required by law.

11. Limitation of Liability

To the maximum extent permitted by law, Entreprenerdy shall not be liable for any indirect, incidental, or consequential damages arising from use of the Services. ⚠️ [A liability cap and specific carve-outs should be drafted by counsel, particularly given this platform handles compliance-critical data for audits and public funding.]

12. Termination

We may suspend or terminate access to the Services for breach of these Terms. You may terminate your account at any time; ⚠️ [define data export/retention process on termination — this matters given the “you own your data” promise made elsewhere on the site].

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. ⚠️ [Confirm jurisdiction for dispute resolution.]

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
